Our business model is intentionally unique and differs significantly from conventional investment vehicles.
It is therefore entirely natural that questions arise.
Although we greatly prefer to address your individual concerns personally – and are available at any time for a direct conversation – we have also compiled the most frequently asked questions together with detailed answers in our Frequently Asked Questions section.

What exactly is 499X CAPITAL?
A German GmbH that functions as a private investment club for up to 499 private investors + unlimited professionals. No BaFin license, no prospectus, 100 % legal.
Is this a regulated fund?
No. It is a normal German limited liability company (GmbH). We deliberately stay under the regulatory thresholds.
Why only 499 private investors?
German law allows up to 499 non-professional investors without triggering BaFin fund rules. Above that we would need a full AIF license.
Who can invest?
Any adult worldwide, but we primarily target German and EU residents for tax optimization benefits.
What is the minimum investment?
€1,000 (one thousand euros).
What is the expected net return?
Target 2025–2028: 10–15 % p.a. net to investors after all fees and taxes (in best case only 1.9 % net tax).
How is the money invested?
40 % US stocks & Bitcoin, 30 % Dubai + South Africa real estate, 10 % active trading, 10 % gold, 10 % cash in Switzerland.
Where is the cash held?
10 % of the portfolio is usually in a dedicated Swiss company account at UBS Zug. This allows us to be liquid in case of unexpected circumstances.
Why Switzerland, USA, and Dubai?
Diversification + protection against possible future EU capital controls.
What fees do I pay?
- 0.0 % management fee on first €9,999
- 0.9 % p.a. on everything above €10,000
- 24.9 % performance fee only above 11 % p.a. return (hard hurdle + high-water-mark)
When do I pay the performance fee?
Only at year-end or upon withdrawal, and only if we exceed 11 % in that year.
How high can the total fee be in a good year?
At 20 % gross return on €100k → total fee ≈ 2.2 % of capital. Investor still keeps ~17.8 % net.
How are distributions taxed in Germany?
Structured as profit participation rights (Genussrechte) → many investors (especially retirees without church tax) pay only 1.9 % net tax.
Is the big exit tax-free?
Yes – all gains stay in the tax-free § 6b EStG reserve until final liquidation (planned 2028–2030).
Can I withdraw my money anytime?
Yes – monthly withdrawal right with 30 days notice.
How do I become a shareholder?
Sign the 2-page subscription agreement → pay → notary registers you in the commercial register (1–3 days).
Is my investment protected like in a bank?
No deposit guarantee, but you own real GmbH shares registered at the German commercial register and notary-secured.
What happens if the GmbH goes bankrupt?
All assets (US LLC, Dubai companies, Swiss account, Bitcoin wallets) belong 100 % to the GmbH – creditors cannot touch private investor shares easily.
Who is behind 499X CAPITAL?
Dr. Christoph Lymbersky registered Managing Director in Germany, currently living in Spain, Switzerland and Germany.
How transparent is the reporting?
Monthly NAV statement + live dashboard access + annual audited financials.
Can I invest with my German Depot or via a company?
Yes – natural persons, GmbHs, UG, family offices all welcome.
Is public advertising allowed?
Yes – that’s one of the biggest advantages of the 499-structure.
Do you accept investors from Austria and Switzerland?
Yes, absolutely (different tax treatment, but still very attractive).
What happens after seat 499 is taken?
We close for new private investors and only accept professional/semi-professional investors (no longer count toward the 499 limit).
When is the final exit planned?
Target 2035 with a full liquidation and tax-free distribution via § 6b reserve (potential 6–10× return).
Is there a lock-up period?
No hard lock-up – only 30 days notice for withdrawal.
How is crypto stored?
Institutional cold storage via licensed Singapur custodian + multi-sig hardware wallets.
Can I see the actual companies and accounts?
Yes – every investor gets access to all subsidiary commercial register excerpts and bank/custodian logins (read-only).
Is this structure already used by others?
Yes – hundreds of successful “499er GmbHs” exist in real estate, start-ups and renewable energy in Germany. However the 449X Capital business model is unique.
What is the biggest risk?
Market risk (stocks, crypto, real estate prices can fall) + operational risk (though heavily mitigated by diversification and legal structure).
